KSEA-NC Constitution
Chapter 1 Charter
Article 1 (Name).
The organization shall be known as the North Carolina Chapter
(hereafter referred to as the Chapter)
of the Korean-American Scientists and Engineers Association
(hereafter referred to as KSEA).
Article 2 (Object).
The object of the Chapter shall be to promote scholarship
and to promote fellowship among the members.
Article 3 (Activities).
In order to accomplish the objects enunciated in Article 2,
the activities of the Chapter shall include the following:
- Exchange of information and professional cooperation among members.
- Liaison and cooperation with KSEA.
- Promotion of science and technology education for Korean and American communities.
- Assistance in Korean-American cultural exchange activities.
- Other activities promoting fellowship among members
and relevant to the objectives of the Chapter.
Chapter 2 Membership
Article 4 (Classification of Membership).
The members of the Chapter shall be classified into four categories:
Members, Student Members, Fellows, and Special Members
who are registered members of KSEA and reside in the State of North Carolina.
- Members
: Korean-American scientist and engineers.
- Student Members
: Korean-American students majoring
in science or engineering at a college or a graduate school.
- Fellows
: Former leaders of the Chapter and/or KSEA and
other well-known members who are nominated by the recommendations
of at least three fellows or by the Chapter President.
The inaugural fellows are to be recommended by the Chapter President.
- Special Members
: Individual/organization who/that contributed
to the Chapter activities or visiting scientists and engineers
who reside in North Carolina less than a year.
Article 5 (Approval).
All members shall be approved by the Council in accordance
with the eligibility specified by Article 4.
The Council shall be empowered to retract the membership from any member
who has failed to pay membership dues for a long period time.
Article 6 (Privileges).
All active members paying yearly membership dues,
with the exception of Special Members, have the right to vote and be elected.
Chapter 3 Council and Board
Article 7 (Composition of Council).
The composition and the term of the Council shall be as follows:
- President (one person, one year)
- Vice President (one person, one year: President elect)
- Fellow Representatives( up to two; three years)
- Project Directors (up to six; one year)
- Treasurer (one person; one year)
- Auditor (one person; two years)
- Immediate Past President (one person; one year)
The Council will meet regularly to discuss all matters pertaining
to the activities of the Chapter.
Article 8 (Composition of Board).
The Board consists of President, Vice President, Project Directors and Treasurer.
The Board is the executive branch of the Chapter.
Article 9 (Nominations, Elections and Appointment).
President and Vice President shall be elected from among the candidates recommended
by the Council or by at least ten members,
by the majority vote at the General Assembly or mail ballot.
Fellow Representatives shall be elected among the college of fellows.
Project Directors and Treasurer shall be nominated by the President
and be ratified by the Council. Auditor shall be elected by the Council.
Article 10 (Responsibility of President).
The President shall be responsible for overall operation of Chapter,
and represent the Chapter. He shall preside over the General meeting,
Council meeting and Board meeting.
Article 11 (Responsibility of Vice President).
The Vise President shall assist the President,
and take over temporarily any duties that the President may delegate.
In the event of a long absence by the President,
the Vice President shall assume the Presidency for the remaining term.
Article 12 (Responsibility of Treasurer).
The Treasurer shall be charged with the financial matters and accounting of the Chapter.
Article 13 (Responsibility of Auditor).
The Auditor shall be charged with the auditing of all aspects of the business
of the Chapter, and shall report the findings to the General Assembly.
Chapter 4 Meetings, Finance and Amendmen

Article 14 (General Assembly).
The General Assembly is the highest decision making institution of the Chapter.
The Regular General Assembly shall be convened once a year and
a Special General Assembly can be called by the request of ten Chapter members.
The General Assembly shall be constituted by the participation
of more than one fourth of the active Chapter members.
Article 15 (Finance).
The Chapter shall be financed by the membership dues and contributions.
Article 16 (Amendments).
This Constitution shall be ratified or amended by a majority vote
at the General Assembly or mail ballot.
